These Terms of Service (the “Terms”) govern your access to and use of the TATY Community Learning website (the “Site”) and any related learning materials, educational resources, workshops, and programs described on the Site (collectively, the “Services”). The Services are provided by TATY Community Learning Inc. (“TATY Community Learning,” “we,” “us,” or “our”).

By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Site.

To the fullest extent permitted by applicable law, we disclaim all warranties and conditions, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components. We do not warrant the accuracy, completeness, or usefulness of any educational content for any specific purpose.

Learning involves variables outside our control, including practice time, context, prior knowledge, and follow-through. Outcomes vary and cannot be guaranteed.

To the maximum extent permitted by applicable law, TATY Community Learning Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunities, arising from or related to your use of (or inability to use) the Site or Services.

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Site or Services will not exceed the greater of (a) the amounts you paid to us in the twelve (12) months before the event giving rise to the claim, or (b) CAD $100.

Some provinces and territories do not allow certain limitations of liability, so some of the above limitations may not apply to you. In that case, our liability will be limited to the fullest extent permitted by applicable law.

You agree to indemnify, defend, and hold harmless TATY Community Learning Inc. and its directors, officers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Site; (b) your violation of these Terms; or (c) your violation of any applicable law or third-party right.

We will not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including power outages, internet or hosting failures, natural disasters, labour disputes, public health emergencies, cyberattacks, governmental actions, or third-party service interruptions.

The Site is operated from Canada and is intended primarily for audiences in Canada. We make no representation that the Site or Services are appropriate or available in all locations. If you access the Site from outside Canada, you are responsible for compliance with local laws.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

Except where consumer protection laws provide otherwise, you agree that any dispute arising from or relating to these Terms or the Site will be brought in the courts located in Toronto, Ontario, and you consent to the personal jurisdiction of those courts.

Before filing a claim, you agree to contact us and provide a brief, written description of the issue and your requested resolution. The parties will attempt to resolve disputes informally for at least thirty (30) days.

If a dispute cannot be resolved informally, either party may pursue the claim in accordance with the “Governing law and jurisdiction” section above. Nothing in these Terms limits rights that cannot be waived under applicable consumer protection laws.

We may suspend or terminate access to the Site at any time if we reasonably believe you have violated these Terms or used the Site in a way that creates security, legal, or operational risk.

Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, governing law, and other provisions that by their nature should survive will survive termination.

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect.

These Terms, together with the Privacy Policy and the Cookie Policy, constitute the entire agreement between you and TATY Community Learning Inc. regarding your use of the Site.

We may assign or transfer these Terms in connection with a merger, acquisition, reorganization, or sale of assets. You may not assign these Terms without our prior written consent.

Our failure to enforce any provision of these Terms is not a waiver of our right to do so later. A waiver is effective only if it is in writing and signed by an authorized representative of TATY Community Learning Inc.

We may update these Terms from time to time. Changes will take effect fourteen (14) days after they are posted on this page, unless a change is required by law or is administrative in nature, in which case it may take effect immediately.

Continued use of the Site after the effective date of updated Terms constitutes acceptance of the updated Terms.

By using the Site and communicating with us electronically, you consent to receive communications from us in electronic form. You agree that any notices, disclosures, and agreements provided electronically satisfy legal requirements for written communications under applicable law.
